1. Acceptance of Terms
By accessing or using QuiQly ("the Service"), you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use the Service.
2. Description of Service
QuiQly is an AI-powered software factory platform that enables users to create, deploy, and manage AI-powered business applications. The Service includes access to AI agents, development tools, accounting features, and other business automation capabilities.
3. Account Registration
To use the Service, you must create an account. You are responsible for:
- Providing accurate and complete registration information
- Maintaining the security of your account credentials
- All activities that occur under your account
4. Pricing and Payment
QuiQly offers five subscription tiers. All prices are listed in US Dollars (USD) and are billed on a monthly or annual basis. Annual billing provides a discounted monthly rate.

Each tier includes different feature limits, module access, and support levels. Full details of what is included in each tier are available on our Pricing page. QuiQly reserves the right to modify pricing with 30 days' written notice to active subscribers.
5. Success Fee
QuiQly charges a "Success Fee" — a small revenue-sharing percentage on revenue you generate through the QuiQly platform. This includes, but is not limited to, revenue from ebook sales, property deals, client invoices, and other transactions facilitated by QuiQly tools.

The Success Fee is calculated on net revenue (after refunds and chargebacks) generated through platform-integrated payment processing. If you generate $0 in revenue through the platform, your Success Fee is $0. The fee is tracked automatically via integrated payment processing and is invoiced monthly alongside your subscription. You will receive transparent reporting of all Success Fee calculations in your account dashboard.
6. Cryptocurrency Payments
QuiQly accepts cryptocurrency as a payment method for subscriptions and wallet deposits. The following terms apply:
- Accepted Currencies: Bitcoin (BTC), Ethereum (ETH), Solana (SOL), Tether (USDT), and USD Coin (USDC)
- Crypto Discount: Subscribers who pay via cryptocurrency receive a 5% discount on their subscription fee
- Network Fee: A 1% network fee applies to cryptocurrency transactions. QuiQly does not add any markup beyond the network fee
- Non-Custodial: QuiQly does not hold or custody your cryptocurrency. All crypto payments are processed through third-party payment processors and converted at the time of transaction
- Minimum Transaction: The minimum cryptocurrency payment is $5.00 USD equivalent
- Exchange Rate: Cryptocurrency values are calculated at the prevailing market rate at the time of transaction. QuiQly is not responsible for price fluctuations between the time a payment is initiated and confirmed
7. QuiQly Wallet
QuiQly offers a prepaid wallet feature that allows you to deposit funds for use on the platform. The following terms govern wallet usage:
- Prepaid Balance: You may deposit funds into your QuiQly Wallet via credit/debit card or cryptocurrency. Wallet balances are denominated in USD
- Processing Fee: Payments made from your QuiQly Wallet balance incur 0% processing fees from QuiQly. Standard payment processor fees apply at the time of deposit
- Auto-Reload: You may optionally enable auto-reload, which automatically tops up your wallet when your balance falls below a threshold you configure
- Maximum Deposit: The maximum single deposit is $10,000 USD
- Non-Transferable: Wallet balances are non-transferable between accounts
- Refunds: Unused wallet balances may be refunded upon account closure, subject to any outstanding fees or charges
8. Add-On Modules
QuiQly offers optional add-on modules that can be purchased in addition to your subscription tier. Add-ons include, but are not limited to: PropertyOS upgrades, extra AI generation packs, additional team seats, skip tracing credits, white-label branding, priority support, API access packs, and GPU compute hours. Add-on availability varies by tier. Add-ons are billed alongside your subscription and follow the same billing cycle (monthly or annual). 9. Overage Fees
If you exceed your monthly AI generation limit, overage fees may apply under the following conditions:
- Rate: $0.005 per additional AI generation ($5.00 per 1,000 generations)
- Opt-In Only: Overage is strictly opt-in. When you reach your monthly limit, AI generation will pause unless you have explicitly enabled auto-overage in your account settings
- Usage Warnings: You will receive a warning notification at 80% usage and again at 100% usage of your monthly AI generation limit
- Billing: Overage charges are invoiced at the end of each billing cycle
- Enterprise Tier: Enterprise subscribers have unlimited AI generations and are not subject to overage fees
10. Email Communications
By creating an account, you agree to receive certain email communications from QuiQly. We comply fully with the CAN-SPAM Act and all applicable email regulations.
- Transactional Emails: You will receive emails related to your account activity, including account registration confirmations, password resets, billing receipts, usage alerts, and security notifications. These emails are essential to the operation of your account and cannot be unsubscribed from while your account is active
- Marketing Emails: You may receive promotional emails about new features, product updates, tips, and special offers. You may unsubscribe from marketing emails at any time
- Right to Unsubscribe: Every marketing email includes a clearly visible unsubscribe link. You may also manage your email preferences in your account settings. Unsubscribe requests are honored within 10 business days as required by law
- Physical Mailing Address: In compliance with the CAN-SPAM Act, our physical mailing address is: Dream Tree Solutions LLC, Wyoming, USA
- No Deceptive Headers: All emails from QuiQly accurately identify the sender and include truthful subject lines
11. Refund Policy
All paid plans include a 14-day money-back guarantee. If you are not satisfied within the first 14 days of your subscription, contact support for a full refund. Annual plans cancelled after 14 days are prorated for remaining months.
12. Acceptable Use
You agree not to use the Service to:
- Violate any applicable laws or regulations
- Infringe on intellectual property rights
- Transmit harmful or malicious code
- Attempt to gain unauthorized access to systems
- Use the Service for illegal activities
13. Intellectual Property Rights
Your Content: Content you create using QuiQly remains your property. You retain all rights to your business data, projects, and outputs generated through the platform.
Our Property: QuiQly, including but not limited to:
- All software code, algorithms, and technical implementations
- The QuiQly name, logo, and all associated trademarks
- User interface designs, layouts, and visual elements
- Documentation, tutorials, and marketing materials
- AI models, training data, and machine learning systems
- APIs, integrations, and technical architecture
- All proprietary business processes and methodologies
are the exclusive property of Dream Tree Solutions LLC and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property laws.
14. Prohibited Activities Regarding Intellectual Property
You expressly agree NOT to:
- Copy or Reproduce: Copy, duplicate, reproduce, or create derivative works of any part of the QuiQly platform, code, or materials
- Reverse Engineer: Decompile, disassemble, reverse engineer, or attempt to derive the source code, algorithms, or underlying structure of the Service
- Distribute: Sell, license, sublicense, distribute, lease, or otherwise transfer the Service or any portion thereof to third parties
- Compete: Use knowledge gained from the Service to create a competing product or service
- Scrape or Extract: Use automated tools, bots, or scripts to scrape, extract, or collect data, code, or content from the platform
- Remove Notices: Remove, alter, or obscure any copyright, trademark, or proprietary notices
- Misappropriate: Claim ownership of, or file patents/trademarks on, any QuiQly technology, features, or innovations
Violation of these terms may result in immediate termination of your account and legal action, including claims for damages, injunctive relief, and recovery of attorney's fees.
15. Confidentiality
Any non-public information about QuiQly's technology, business practices, or operations that you may access or learn through use of the Service is considered confidential information. You agree to:
- Keep all confidential information strictly confidential
- Not disclose confidential information to any third party
- Not use confidential information for any purpose other than using the Service as intended
- Notify us immediately if you become aware of any unauthorized disclosure
16. Data and Privacy
Your use of the Service is also governed by our Privacy Policy. We are committed to protecting your data and maintaining compliance with applicable privacy regulations.
17. Service Availability
We strive for 99.9% uptime but do not guarantee uninterrupted service. We reserve the right to modify or discontinue features with reasonable notice.
18. Limitation of Liability
QuiQly and Dream Tree Solutions LLC shall not be liable for any indirect, incidental, special, or consequential damages arising from your use of the Service.
19. Changes to Terms
We may update these Terms from time to time. Continued use of the Service after changes constitutes acceptance of the new Terms.
20. AI-Generated Content Disclaimer
IMPORTANT: QuiQly uses artificial intelligence to generate content, code, documents, and other outputs. All AI-generated content is provided "AS IS" for informational and productivity purposes only.
- No Professional Advice: AI outputs do not constitute legal, medical, financial, tax, or other professional advice
- Human Verification Required: Users MUST review and verify all AI-generated content before use
- Accuracy Not Guaranteed: AI may produce errors, inaccuracies, or outdated information
- User Responsibility: You are solely responsible for how you use AI-generated content
- Professional Consultation: Always consult qualified professionals for important decisions
By using QuiQly, you acknowledge that you understand these limitations and agree to use AI-generated content at your own risk.
21. Governing Law and Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of the State of Wyoming, United States, without regard to its conflict of law provisions. Any disputes arising from these Terms or the Service shall be resolved through binding arbitration in accordance with the American Arbitration Association rules, conducted in Wyoming.
